MEMBERSHIP AND ORGANIZATION AGREEMENT

| FIRST
If you think this is a venture needed for the
community and for ourselves as farmers and businessmen, sign
this paper committing to the RISK CAPITAL total dollar amount of
$500.00.
Payment of the RISK MONEY will be collected in
three payments.

| This money will be
used and accounted for by the Steering Committee, and a
quarterly letter will be sent to each member of the usage of the
money.
Also this will be used in connection with the
grant money being received from the USDA.
SECOND
Producer committment of aproximately 2000
bushels of soybeans which would be about 40 acres with a yeild
of 50 bushels per acre. A contract would be made and signed to
insure the farmer of " where to be delivered, how to be
delivered, and when to be delivered," at the time of the
planting season.
A copy of the ORGANIZATION AGREEMENT will be
sent to each who sign on or before December 30th, 2002.
